Artist Distribution Agreement

1. Parties to the Agreement

This Distribution Agreement is between:

• Seema Films (the "Distributor"), a music distribution service
• You (the "Artist" or "Label"), the copyright owner of the submitted content

2. Grant of Rights

You grant Seema Films a non-exclusive, worldwide license to:

• Distribute your music to digital streaming platforms and online stores
• Reproduce and transmit your recordings as necessary for distribution
• Collect and remit royalties on your behalf
• Use your artist name, likeness, and artwork for promotional purposes related to distribution
• Submit your music to playlists and editorial consideration (with Premium and Pro plans)

Important: You retain 100% ownership of your master recordings and compositions.

3. Your Warranties and Representations

By submitting content, you warrant that:

• You own or control all rights to the submitted recordings and compositions
• You have obtained all necessary clearances for samples, interpolations, and features
• The content does not infringe on any third-party copyrights or trademarks
• All metadata and credits provided are accurate and complete
• You have the authority to enter into this agreement
• The content complies with platform content policies and applicable laws

4. Revenue Split and Payment Terms

Commission Structure

• Free Trial: Artist receives 85% of net receipts
• Premium Plan: Artist receives 90% of net receipts
• Pro Label Plan: Artist receives 100% of net receipts

Payment Schedule

• Royalties calculated monthly based on platform reports
• Payments processed within 45 days after month-end
• Minimum payout threshold must be reached for payment
• Detailed royalty statements provided with each payment

5. Content Requirements

All submitted content must meet these standards:

Audio Requirements

• WAV format (16-bit or 24-bit, 44.1kHz)
• Professional quality mastering
• No clipping or distortion
• Proper loudness levels

Artwork Requirements

• Minimum 3000x3000 pixels
• Square format (1:1 aspect ratio)
• JPG or PNG format
• No logos from streaming platforms

6. Distribution Timeline

• Standard processing: 3-7 business days
• Premium priority processing: 3 business days
• Platforms may take additional time to make content live
• Takedown requests processed within 7-14 business days

7. Territory and Platforms

Distribution includes:

• Territory: Worldwide (all territories)
• Platforms: 150+ digital streaming and download stores including Spotify, Apple Music, YouTube Music, Amazon Music, and more
• Format: Audio streaming and downloads

8. Indemnification

You agree to indemnify and hold Seema Films harmless from any claims, damages, or expenses arising from:

• Copyright or trademark infringement claims
• Breach of your warranties and representations
• Unauthorized use of samples or third-party content
• Inaccurate metadata or credits

9. Term and Termination

This agreement continues until:

• You request takedown of your content
• You cancel your subscription
• Either party terminates for breach of agreement

Upon termination, your content will be removed from platforms within 7-14 business days. You will receive all earned royalties up to the termination date.
